Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Lucive platform and services provided by Lucive Pty Ltd ("Lucive", "we", "us", "our"). By accessing or using our platform, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Lucive platform, you confirm that you have read, understood, and agree to these Terms. If you are using the platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Description of service
Lucive provides an automated GP referral letter generation service for allied health practices. Our platform integrates with practice management systems to streamline the referral process.
3. Account obligations
You are responsible for:
- Providing accurate and complete registration information.
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Notifying us immediately of any unauthorised use of your account.
4. Permitted use
You may use the platform only for its intended purpose — generating and managing GP referral letters within the scope of your clinical practice. You must not:
- Use the platform for any unlawful purpose.
- Attempt to gain unauthorised access to any part of the platform.
- Reverse-engineer, decompile, or disassemble any part of the software.
- Use the platform in a way that could damage, disable, or impair the service.
- Resell or sublicense access to the platform without our written consent.
5. Intellectual property
All intellectual property rights in the Lucive platform, including software, designs, trademarks, and documentation, remain the property of Lucive Pty Ltd. Your use of the platform does not grant you any ownership rights. Content you create or upload through the platform remains your property.
6. Fees and payment
Fees for using the platform are set out in your subscription agreement. All fees are in Australian dollars and are exclusive of GST unless otherwise stated. We may update pricing with 30 days' written notice.
7. Data and privacy
Your use of the platform is subject to our Privacy Policy and, where applicable, our Data Processing Agreement. You are responsible for ensuring that your use of the platform complies with applicable privacy legislation, including the Privacy Act 1988 (Cth).
8. Limitation of liability
To the maximum extent permitted by law, Lucive's total aggregate liability arising out of or in connection with these Terms or your use of the platform is limited to the fees paid by you in the 12 months preceding the claim. Lucive is not liable for any indirect, incidental, special, consequential, or punitive damages.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian law, including under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010).
9. Indemnity
You agree to indemnify and hold harmless Lucive and its officers, employees, and agents from any claims, losses, or damages arising from your breach of these Terms or your misuse of the platform.
10. Termination
Either party may terminate these Terms by providing 30 days' written notice. We may suspend or terminate your account immediately if you breach these Terms. Upon termination, your right to use the platform ceases and we will handle your data in accordance with our Privacy Policy and any applicable Data Processing Agreement.
11. Governing law
These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales and any courts entitled to hear appeals from those courts.
12. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Your continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
